Terms of Service

Effective date: 1 June 2025

By accessing or using the XPay payments platform ("Platform") provided by Optimasys Solutions, you agree to these Terms.

Use of the platform

We grant you a limited, non-exclusive licence to use the Platform to accept payments, issue invoices, and reconcile transactions for your internal business operations during your active merchant agreement. You may not resell, reverse engineer, or misuse the Platform in any way that violates applicable law, payment network rules, or harms others.

Your account

You are responsible for keeping your credentials and API keys secure and for all activity under your merchant account. Notify us immediately at info@optimasyssolutions.com if you suspect unauthorised access.

Payment processing

You are responsible for ensuring that all transactions submitted through the Platform are lawful, authorised by the payer, and comply with the rules of the relevant payment method (EcoCash, OneMoney, O'Mari, InnBucks, Visa, Mastercard, Zimswitch). XPay acts as a payment facilitator and does not guarantee settlement where a transaction is declined, reversed, or disputed by the payer's provider.

Your data

You retain ownership of all merchant and transaction data you generate on the Platform. You grant us a limited licence to store, process, and transmit it solely to provide the payment and reconciliation service.

Fees & payment

Fees are configured per merchant as agreed in your merchant onboarding. Transaction fees are deducted or invoiced as specified in your agreement. We may update fee structures with 30 days' written notice. Persistent non-payment may result in suspension of your account.

Intellectual property

The Platform and all associated software, designs, and content remain the exclusive property of Optimasys Solutions. These Terms do not transfer any IP rights to you.

Liability

The Platform is provided "as is." To the extent permitted by law, Optimasys Solutions is not liable for indirect or consequential damages, including losses arising from payment delays or declines caused by third-party payment providers. Our total liability shall not exceed the fees you paid in the three months preceding any claim.

Termination

Either party may terminate with 30 days' notice. We may suspend access immediately for breach, non-payment, or suspected fraudulent activity. Your transaction data will be available for export for 30 days after termination.

Governing law

These Terms are governed by the laws of the Republic of Zimbabwe.
